Management Organization and Compensation Committee
The Management Organization and Compensation
Committee develops the Company's philosophy and
structure for executive compensation, determines the
compensation of the Chief Executive Officer, and approves
the compensation of the executive officers. It reviews
the performance of the CEO on an annual basis, and reviews
and makes recommendations on executive management organization
and succession plans. The Committee also administers
the Company's stock option plans and other stock-based
compensation plans. The Committee meets at least three
times each year.
